Sale of an online shop
March 10, 2011 | 30,00 EUR | answered by Steffan Schwerin
In the contract, it states in the preamble "...the transfer of the entire business assets..." or in §1 "...with the fixed assets, but without any other assets and liabilities..."
What does this mean?
From our side, only the shop (domain including the photos, customer data, texts displayed in the online shop), as well as the supplier relationships (simply address transfer), and our inventory (see Annex 1) are to be sold.
I am now concerned that our current assets (checking account, savings account, office furniture, etc.) may also be included in this.
So: Can I sign the contract without worries if I only want to sell the domain, the shop (images, texts, customer data) + inventory?
Dear questioner,
I will answer the questions you have asked, taking into account the circumstances described and your input, as follows:
Indeed, you should not leave the contract as it is and should define more precisely what falls under the business assets.
If you leave the term as it is, everything will indeed fall under it.
If you only want to sell the domain and the shop including the inventory, this should also be explicitly stated in the contract.
I would like to point out that this platform cannot replace a detailed and personal legal consultation. The sole aim is to provide an initial rough assessment of your legal issue based on the information you have provided, from a lawyer. The legal advice I provide is based solely on the information you have provided. Adding or omitting relevant information in the description of your situation may result in a completely different legal assessment.
I hope I have been able to give you an initial overview and that my explanations have been helpful. You can contact me through the follow-up option on this platform.
Furthermore, I am also available for legal representation. The initial consultation fee you have paid will be credited in full.
A greater distance between lawyer and client is generally not a problem. With the help of modern communication tools such as email, mail, fax, and telephone, legal representation is also possible.
